Terms of Service

Please read these Terms of Service carefully before using TeloLife. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use our services. These Terms include an arbitration agreement and class action waiver in Section 17.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Patient," "User," or "you") and TeloLife, Inc. ("TeloLife," "we," "our," or "us"), governing your access to and use of the TeloLife website, mobile applications, patient portal, and all related services (collectively, the "Platform" or "Services").

By creating an account, completing a health intake form, placing an order, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Description of Services

TeloLife is a technology platform that facilitates access to telehealth services provided by independent, licensed physician groups ("Provider Groups"). Our Services include:

  • An online health intake and qualification process
  • Telehealth consultations with licensed clinicians via asynchronous and synchronous communication
  • Prescription management and refill coordination
  • Coordination with licensed compounding pharmacies for medication dispensing and delivery
  • Ongoing care team messaging and patient support
  • A HIPAA-compliant patient portal for managing your care

TeloLife is a technology company, not a medical practice. Clinical care is provided exclusively by independent, licensed Provider Groups. TeloLife does not practice medicine, does not employ physicians in clinical roles, and does not direct clinical decision-making.

3. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a resident of a U.S. state in which our Provider Groups are licensed to practice
  • Have a valid government-issued ID
  • Provide accurate, complete, and current information during registration and intake
  • Not be currently under the care of a provider for a condition that contraindicates GLP-1 therapy (as determined by our Provider Groups)

TeloLife reserves the right to decline service to any individual at its sole discretion. A completed intake form does not guarantee a prescription. All prescribing decisions are made exclusively by our licensed Provider Groups based on clinical judgment.

4. Medical Disclaimer

TeloLife is not a substitute for emergency medical care. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately.

The content on our Platform is for informational purposes only and does not constitute medical advice, diagnosis, or treatment. Individual results vary. Clinical statistics referenced on our Platform are based on published research data and our patient population — your individual results may differ significantly.

You are responsible for informing your primary care provider and all treating clinicians of any medications prescribed through TeloLife. GLP-1 medications may interact with other medications and may not be appropriate for all individuals.

You must disclose all current medications, supplements, medical conditions, and relevant health history during your intake process. Failure to provide accurate health information may result in the prescription of medications that are unsafe for you and may void any applicable guarantees.

5. Telehealth Consent

By using our Services, you consent to receiving telehealth services, which may include asynchronous (store-and-forward) communication, secure messaging, and where applicable, video or audio consultations. You understand that:

  • Telehealth services have limitations compared to in-person care, including the inability to perform physical examinations
  • Technical difficulties may interrupt or prevent telehealth services
  • Your health information will be transmitted electronically using HIPAA-compliant security measures
  • You have the right to withdraw consent to telehealth at any time without affecting your right to future care
  • Telehealth services may not be appropriate for all medical conditions or situations

You also consent to your health information being shared among members of your care team (including TeloLife care coordinators, clinicians, and pharmacists) for purposes of treatment coordination.

6. Account Registration

You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You may not share your account with any other person. You must notify us immediately at support@telolife.com if you suspect unauthorized access to your account. TeloLife will not be liable for losses resulting from unauthorized account access where you failed to safeguard your credentials.

Each account is for a single patient's use only. Creating multiple accounts to circumvent eligibility requirements or subscription policies is prohibited and may result in permanent account termination.

7. Subscriptions, Fees & Billing

Subscription Plans

TeloLife offers monthly subscription plans that include access to the Platform, clinician oversight, prescription management, and medication delivery (subject to prescriber approval). Current plan pricing is displayed at www.telolife.com/#pricing and is subject to change with 30 days' notice.

Billing

By providing a payment method, you authorize TeloLife to charge your payment method on a recurring monthly basis on the same day of each month as your initial subscription date. Charges are processed by Stripe. TeloLife does not store your full payment card information.

Price Changes

We will provide at least 30 days' written notice before increasing your subscription price. Your continued use of the Services after the effective date of a price change constitutes acceptance of the new price.

HSA/FSA

TeloLife services may be eligible for payment using Health Savings Account (HSA) or Flexible Spending Account (FSA) funds. Eligibility depends on your HSA/FSA plan administrator's policies. We recommend confirming eligibility with your plan administrator prior to payment. TeloLife does not guarantee HSA/FSA reimbursement.

Financing

We offer third-party financing through Cherry. Cherry is an independent third-party provider; its services are subject to its own terms and conditions. TeloLife is not responsible for financing decisions, interest charges, or disputes with the financing provider.

8. Cancellations & Refunds

Cancellation

You may cancel your subscription at any time through your patient portal or by contacting our support team. Cancellation takes effect at the end of your current billing period. You will retain access to the Services through the end of the paid period.

Refund Policy

If our licensed Provider Group determines that you are not a candidate for GLP-1 therapy after reviewing your intake, you will receive a full refund of your subscription fee. Refunds are not available for cancellations made after a prescription has been issued and medication has been dispensed, except where required by applicable law.

TeloLife Guarantee

TeloLife's results guarantee means that if you follow your prescribed care plan and do not achieve measurable weight loss progress, our care team will work with you at no additional charge to adjust your plan. This guarantee does not constitute a refund guarantee and requires documented compliance with your prescribed protocol. Guarantee terms may be modified at TeloLife's discretion with notice.

9. Medication & Pharmacy

Medications dispensed through TeloLife are compounded GLP-1 medications prepared by FDA-registered, state-licensed compounding pharmacies. Compounded medications are not FDA-approved drug products. They are prepared pursuant to valid prescriptions for individual patients by licensed compounding pharmacies operating under applicable federal and state law.

  • All prescriptions are issued by independent licensed physicians based solely on clinical judgment
  • TeloLife does not guarantee that a prescription will be issued following intake
  • You are responsible for following all medication instructions provided by your prescribing clinician
  • Report any adverse reactions to your care team immediately and seek emergency care if necessary
  • Do not share, sell, or transfer your prescription medications to any other person
  • Medications are shipped for personal use only and may not be exported outside the United States

10. Prohibited Conduct

You agree not to:

  • Provide false, misleading, or incomplete health information during intake or at any point during your care
  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to any portion of the Platform or other accounts
  • Reverse engineer, decompile, or disassemble any portion of the Platform
  • Use automated tools (bots, scrapers) to access the Platform without written permission
  • Harass, threaten, or abuse TeloLife staff, clinicians, pharmacists, or other users
  • Reproduce, distribute, or create derivative works from TeloLife content without permission
  • Attempt to circumvent subscription or eligibility requirements
  • Use the Platform to obtain medications for any purpose other than personal therapeutic use

Violations may result in immediate account suspension or termination and may be reported to appropriate authorities.

11. Intellectual Property

The TeloLife Platform, including all content, design, logos, trademarks, software, and materials, is owned by TeloLife, Inc. and is protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any right to use TeloLife's trademarks, logos, or brand assets without prior written permission.

You retain ownership of any health information and personal data you submit. By submitting content to the Platform, you grant TeloLife a limited, non-exclusive license to use such content solely for the purpose of providing the Services.

12. Privacy & HIPAA

Our collection, use, and protection of your personal information and Protected Health Information (PHI) is governed by our Privacy Policy and our Notice of Privacy Practices, both incorporated into these Terms by reference. TeloLife complies with HIPAA and applicable state health privacy laws.

13. Third-Party Services

Our Platform may contain links to or integrations with third-party websites, services, and applications, including payment processors, financing partners, laboratory services, and pharmacy partners. TeloLife is not responsible for the privacy practices, content, or terms of these third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

14. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TELOLIFE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TELOLIFE MAKES NO WARRANTY THAT ANY PARTICULAR MEDICAL OUTCOME WILL BE ACHIEVED. INDIVIDUAL RESULTS VARY BASED ON FACTORS INCLUDING ADHERENCE TO THE CARE PLAN, INDIVIDUAL PHYSIOLOGY, AND OTHER HEALTH FACTORS OUTSIDE TELOLIFE'S CONTROL.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TELOLIFE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES.

IN NO EVENT SHALL TELOLIFE'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT YOU PAID TO TELOLIFE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless TeloLife, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your provision of false or misleading health information; (d) your violation of any applicable law or the rights of any third party; or (e) any content you submit to the Platform.

17. Dispute Resolution & Arbitration

IMPORTANT: This section contains a binding arbitration agreement and class action waiver that affects your legal rights. Please read carefully.

Informal Resolution

Before initiating any formal dispute, you agree to contact TeloLife at legal@telolife.com and provide a written description of the dispute and your desired resolution. We will attempt to resolve the dispute informally within 30 days.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English and may be conducted remotely. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND TELOLIFE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions

Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration. Claims that may not be subject to arbitration under applicable law are excluded from this agreement.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

19. Modifications to Terms

TeloLife reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new effective date and, where required, by email notification. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services and cancel your subscription.
